2026 Fall Conference Vendor Logo and Trademark Use Authorization

Location: Tulalip Resort Casino, Tulalip, Washington

This Vendor Logo and Trademark Use Authorization (the “Authorization”) governs the Adult Family Home Council of Washington State’s use of the name, logo, trademarks, service marks, taglines, website address, advertisements, product images, and other branded materials submitted by the organization identified during vendor registration (“Vendor Marks”). “AFHC” means the Adult Family Home Council of Washington State.

By checking the acceptance box and submitting a vendor registration, the person completing the registration confirms that they have read and agree to this Authorization and are authorized to grant these permissions on Vendor’s behalf.

1. Permission Granted

Vendor grants AFHC a nonexclusive, worldwide, royalty-free, limited license to reproduce, display, publish, distribute, transmit, and format Vendor Marks for purposes related to identifying, listing, promoting, administering, documenting, and archiving Vendor’s participation in the 2026 Fall Conference.

2. Authorized Uses

AFHC may use Vendor Marks in connection with:

• • Conference websites, registration pages, mobile applications, directories, maps, and digital platforms;
  • Email communications, electronic newsletters, and social-media posts;
  • Conference programs, agendas, presentation slides, signs, banners, displays, and other printed or digital materials;
  • Vendor announcements, media materials, and post-event recognition;
  • Conference photographs, recordings, recap materials, reports, and archival pages in which Vendor recognition appears; and
  • Materials produced by AFHC employees, contractors, printers, platform providers, venue partners, and other vendors acting on AFHC’s behalf.

3. Production Adjustments
   3. AFHC may resize, crop surrounding blank space, convert file formats, adjust resolution, place Vendor Marks on light or dark backgrounds, or use an approved one-color, grayscale, or reversed version as reasonably necessary for production.
   4. AFHC will not intentionally distort, materially redraw, animate, combine, or alter the substantive design of Vendor Marks except as permitted by Vendor’s submitted brand guidelines or later written approval.
   5. AFHC is not required to obtain advance approval for each use when the use is consistent with this Authorization and brand guidelines received before the applicable production deadline.
   6. If AFHC requests approval of a proof and Vendor does not respond by the stated production deadline, AFHC may treat the proof as approved or omit the affected listing or benefit.
4. Vendor Submissions and Brand Instructions
   3. Vendor will provide its approved public display name, website URL, current high-resolution logo files, and any applicable brand guidelines by AFHC’s deadline.
   4. Vendor is responsible for identifying required trademark symbols, minimum sizes, clear-space rules, color restrictions, prohibited backgrounds, or other mandatory usage requirements.
   5. If Vendor does not provide brand instructions before the deadline, AFHC may use the submitted Vendor Marks in a commercially reasonable manner consistent with this Authorization.
5. Term and Archival Use
   3. This Authorization begins when Vendor accepts it and continues through December 31, 2026, unless extended in writing.
   4. After the active term, AFHC may retain and display previously published Conference records, photographs, recordings, programs, maps, directories, recap pages, vendor lists, and other archival materials containing Vendor Marks.
   5. AFHC is not required to recall, destroy, or alter materials already printed, distributed, published, recorded, contractually committed, or archived.
   6. AFHC will not use Vendor Marks to imply participation in a future event or unrelated activity without separate authorization.
6. Vendor Representations

Vendor represents and warrants that:

• • Vendor owns the Vendor Marks or has full authority to grant the permissions stated in this Authorization.
  • AFHC’s authorized use of the Vendor Marks will not infringe, misappropriate, or violate another party’s copyright, trademark, privacy, publicity, contractual, or other rights.
  • The public name, URL, tagline, logo files, advertisements, product images, and other materials submitted by Vendor are accurate and lawful.
  • The person accepting this Authorization is authorized to bind Vendor.

7. Ownership
   7. Vendor retains all ownership rights in Vendor Marks. This Authorization grants AFHC a limited license and does not transfer ownership.
   8. AFHC retains ownership of its own names, logos, Conference branding, layouts, photographs, recordings, directories, maps, and materials, subject to Vendor’s ownership of Vendor Marks appearing within them.
   9. AFHC will not register or claim ownership of Vendor Marks or use them as part of AFHC’s legal or trade name.
8. No Endorsement or Partnership

Use of Vendor Marks identifies Vendor as a participating vendor or exhibitor. It does not create an endorsement, certification, partnership, joint venture, agency, franchise, or employment relationship between Vendor and AFHC. Neither party may state or imply otherwise.

9. Corrections and Withdrawal
   9. Vendor must promptly notify AFHC if a submitted Vendor Mark is incorrect, outdated, or unauthorized and must provide a replacement file.
   10. AFHC will use commercially reasonable efforts to correct future uses and editable digital materials after receiving replacement materials.
   11. Vendor may withdraw permission for future use by written notice, subject to the Vendor and Exhibitor Terms and Conditions. Withdrawal does not require AFHC to recall or alter materials already produced, distributed, published, recorded, contractually committed, or archived.
   12. AFHC may discontinue or remove Vendor Marks if AFHC reasonably believes continued use is unlawful, misleading, inconsistent with Vendor’s status, harmful to AFHC, or contrary to Conference standards.
10. Release and Indemnification
    9. Vendor releases AFHC and its directors, officers, employees, contractors, agents, volunteers, printers, and platform providers from claims arising solely from uses of Vendor Marks authorized by this Authorization, except to the extent caused by willful misconduct or a material use outside the scope of this Authorization.
    10. Vendor will defend, indemnify, and hold harmless AFHC and its directors, officers, employees, contractors, agents, and volunteers from third-party claims, damages, liabilities, and reasonable legal expenses arising from an allegation that Vendor Marks or other materials supplied by Vendor infringe or violate another party’s rights, or from Vendor’s breach of this Authorization.
    11. AFHC will promptly notify Vendor of a covered claim and reasonably cooperate in the defense. Vendor may control the defense but may not settle in a way that admits fault by, imposes obligations on, or fails to fully release AFHC without AFHC’s written approval.
11. Relationship to Vendor Terms

This Authorization supplements the 2026 Fall Conference Vendor and Exhibitor Terms and Conditions. If the documents conflict regarding use of Vendor Marks, this Authorization controls. Other vendor matters remain governed by the Vendor and Exhibitor Terms and Conditions and the selected registration information.

12. Governing Law and General Terms
    12. Washington law governs this Authorization.
    13. Any legal action must be brought in a state or federal court with jurisdiction in Thurston County, Washington.
    14. If a provision is unenforceable, it will be modified only to the minimum extent necessary, and the remaining provisions will remain in effect.
    15. Failure to enforce a provision is not a waiver.
    16. No additional royalty or compensation is owed for uses authorized by this Authorization. Vendor’s Conference participation and related listing opportunities are sufficient consideration for the permission granted.
13. Electronic Acceptance and Records

Vendor agrees that checking the acceptance box and submitting the registration constitutes Vendor’s electronic acceptance of this Authorization. Vendor consents to the use of electronic records for this transaction. AFHC may retain the registration information, order details, acceptance date and time, policy version, and related transaction records as evidence of the Authorization.
